Terms and Conditions

These Terms of Service (“Terms”) govern your access to and use of Nuclear Instruments Web Services and any related hardware, software, or services provided by Nuclear Instruments S.r.l (“Nuclear Instruments”, “we”, “us”). By accessing or using the Services, you agree to these Terms.

1. Definitions

“Services” means the website, cloud and on-premise software, firmware, APIs, documentation, and hardware products made available by Nuclear Instruments.

“Customer”, “you” means the person or legal entity using the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Acceptance & Eligibility

By accessing the Services, you accept these Terms and our Privacy Policy. You must be at least 16 years old or the age of majority in your jurisdiction.

3. Accounts & Registration

  • You must provide accurate and complete information and keep it up to date.
  • You are responsible for credentials, devices, and all activity under your account.
  • We may refuse, suspend, or revoke accounts that violate these Terms or applicable law.

4. Orders & Contract Formation

Quotes are non-binding unless stated otherwise. An order is accepted when we send a written confirmation or deliver the product/service. Any pre-printed terms on your purchase orders are rejected and have no effect.

5. Prices, Taxes & Payment

  • Prices are in euros, exclusive of taxes, duties, and shipping unless stated.
  • You are responsible for all applicable taxes. We may charge tax where required by law.
  • Invoices are due within 30 days from date of invoice unless otherwise agreed.
  • Late payments may accrue interest at the legal maximum or 2% per month, whichever is lower.
  • No set-off or withholding except as required by law.

6. Delivery, Title & Risk (Hardware)

  • Delivery terms are Incoterms® 2020, EXWorks Lambrugo, Italy.
  • Risk of loss passes at delivery according to the agreed Incoterms. Title passes upon full payment.
  • Delivery dates are estimates; we are not liable for reasonable delays.

7. Software Licence & Open Source

Subject to these Terms, we grant you a non-exclusive, non-transferable, limited licence to install and use our software solely with authorised products and in accordance with the documentation.

Some components may be offered under separate open-source licences. In case of conflict, the open-source licence terms prevail for those components.

8. Acceptable Use

  • No reverse engineering, decompiling, or circumvention of technical protections except as permitted by law.
  • No unlawful, harmful, or infringing content or activities.
  • No interference with the Services’ integrity or security; no unauthorised access.
  • Compliance with all applicable laws, standards, and safety requirements.

9. Support & Maintenance

Unless a separate support agreement applies, support is provided on a commercially reasonable basis without guarantees of response or resolution times. RMAs require prior authorisation and compliance with our RMA instructions.

10. Warranties (Limited)

  • Hardware: limited warranty for 24 months from delivery against defects in materials and workmanship under normal use.
  • Software: provided “as is”; we warrant that media (if any) will be free from defects for 90 days.
  • Remedies: repair, replacement, or refund (pro-rated) at our option. Warranty excludes misuse, modification, improper installation, or external causes.

11. Disclaimers

Except for the limited warranties above, the Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Nuclear Instruments shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, or business.

Our aggregate liability for any claim relating to the Services shall not exceed the amounts paid by you for the specific product or service giving rise to the claim in the 12 months preceding the event.

13. Indemnification

You will indemnify and hold harmless Nuclear Instruments from claims arising out of (i) your misuse of the Services, (ii) your violation of these Terms or law, or (iii) your content or specifications.

14. Intellectual Property

We and our licensors own all rights, title, and interest in and to the Services, including software, firmware, designs, schematics, trademarks, and documentation. No rights are granted except as expressly set out.

15. Confidentiality

Non-public information disclosed by one party to the other must be kept confidential and used only for the purpose of performing under these Terms, except where disclosure is required by law.

16. Data Protection & Privacy

Your personal data is processed in accordance with our Privacy Policy. For support ticket data, refer to the retention schedule in the Privacy Policy (currently, 10 years from ticket closure).

17. Export Control & Sanctions

You must comply with applicable export control and sanctions laws (including EU Dual-Use and, where applicable, U.S. EAR/ITAR). You shall not export, re-export, or use the products/services in violation of such laws.

18. Safety & High-Risk Activities

Unless expressly certified, the Services are not designed for life-support, medical, aviation, nuclear power plant control, or other inherently dangerous uses. You are responsible for appropriate redundancies and safeguards.

19. Third-Party Services

The Services may integrate third-party components or services. We are not responsible for such third parties and your use may be subject to their terms and privacy policies.

20. Suspension & Termination

We may suspend or terminate access for non-payment, security risks, or breaches of these Terms. Upon termination, your licence and access cease; some provisions survive (e.g., IP, confidentiality, limitations, governing law).

21. Governing Law & Jurisdiction

These Terms are governed by the laws of Italy, without regard to conflict-of-laws rules. Exclusive jurisdiction and venue lie with the courts of Milan, Italy.

22. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified via the Services or email. Continued use after the effective date constitutes acceptance.

23. Miscellaneous

  • Order of precedence: If there is a conflict, a signed agreement, an Order/Quote, and then these Terms apply, in that order.
  • Assignment: You may not assign these Terms without our consent; we may assign to affiliates or in connection with a reorganisation or sale.
  • Force majeure: Neither party is liable for delays due to causes beyond reasonable control.
  • Severability: If any provision is unenforceable, the remainder remains in force.
  • No waiver: Failure to enforce is not a waiver.

  • Entire agreement: These Terms, along with the Privacy Policy and applicable Orders, form the entire agreement concerning the Services.
